General Terms

1. Mandate Conditions

The following provisions govern the relationship between the client and the agency. They form an integral part of the offer.

The contract between Kenoa and the client covers only the services explicitly confirmed in writing. The written offer or order confirmation defines the agreed deliverables.

2. Written Form

Any modification to these provisions must be agreed upon in writing. The client’s own terms or exceptions are only valid if expressly accepted by Kenoa in writing.

3. Good Faith and Confidentiality

The agency undertakes to carry out its assignments diligently and professionally, in accordance with industry standards. All information shared by the client is treated as strictly confidential.

4. External Providers

Kenoa may enter into third-party contracts on behalf of and for the account of the client for services required to execute the projec

5. Copyright and Usage Rights

The client retains exclusive rights to use the deliverables created by Kenoa within the agreed scope. External providers’ work may be subject to separate restrictions.

All copyright remains with Kenoa or its external collaborators, who may reuse their work as permitted by Swiss copyright law. Any use of Kenoa’s work beyond the agreed scope requires additional compensation.

Kenoa may use completed projects free of charge for its own promotional purposes.

6. Warranty

The client guarantees that all third-party content provided (images, text, videos, etc.) is free of rights or duly licensed.

7. Document Retention

Kenoa will keep project-related documents for 6 months after completion unless otherwise agreed in writing.

8. Delays

Partial deliveries are billable upon completion. If a project remains inactive for more than 60 days, Kenoa may invoice 50% of the remaining balance.

9. Client Obligations

The client must provide all necessary information and materials on time. Delayed collaboration or payment entitles Kenoa to suspend services without notice.

10. Duration and Termination

These terms apply as soon as the client signs the offer or confirms the order in writing.

Packages

Monthly packages automatically renew on a month-to-month basis unless terminated in writing three months in advance.

Minimum contract duration: 3 months. Setup fees are billed at the start of the mandate and are non-refundable. In the event of early termination, all remaining monthly payments remain due.

Fees

1. Initial Consultation

The first consultation prior to assigning a mandate is generally free of charge.

2. Fee Calculation

Fees are based either on pre-purchased hourly budgets (at a predefined rate) or on a flat-rate basis. Any additional requests outside the agreed scope will be subject to a separate quote.

3. Prices

Prices are exclusive of VAT. Unless otherwise agreed, quoted prices may vary by ±5%..

4. Cancellation

If a project is cancelled before completion, the client must pay the deposit and a proportional amount for work completed. Kenoa is entitled to reimbursement for third-party expenses.

12. Payment Terms

Payment must be made as indicated on the invoice. In case of late payment, reminder fees apply from the first notice. Deliverables remain Kenoa’s property until full payment.

Final Provisions

If any part of these terms is found invalid, the remaining provisions remain binding.

The client may not transfer contractual rights without Kenoa’s written consent.
Contracts between Kenoa and its clients are governed by Swiss law.
